Privacy Policy

We at Three Five Two, Inc. (“352”) strongly believe in the importance of providing you and your team an effective tool to help agile teams to collaboratively estimate the effort required to complete a set of user stories and accurately forecast the sprint work that can be completed. We understand the need for your team to keep that information confidential, and we endeavor to provide Terms of Use and a Privacy Policy that addresses and meets those concerns.

This Privacy Policy sets forth the online data collection and usage policies and practices that apply to WWW.PLANNINGPOKER.COM and its affiliate websites (“Planning Poker®”), and does not apply to information we collect in any other fashion. Your data will be stored and processed in whole or in part in the United States. The information we gather on Planning Poker® may be shared within Planning Poker®-affiliated companies on a worldwide basis in order to deliver the products and services we offer. “Affiliated companies” means entities that control, are controlled by or are under common control with 352. Planning Poker® contains links to other Web sites over which we have no control. We are not responsible for the privacy policies or practices of other Web sites to which you choose to link from our Sites. We encourage you to review the privacy policies of those other Web sites so you can understand how they collect, use and share your information.

(1) Collection and Use of Information by Planning Poker® and how to Access or Delete Information

In some areas of Planning Poker®, we request or may request that you provide personal information, including your name, address, email address, telephone number credit card number, contact information, billing information and any other information from which your identity is discernible.

We also gather or may gather certain information about your use of Planning Poker®, such as what areas you visit and what services you access. Moreover, there is information about your computer hardware and software that is or may be collected by us. This information can include without limitation your IP address, browser type, domain names, access times and referring Web site addresses, but is not linked to your personal information.

We may sometimes afford you the opportunity to provide descriptive, cultural, behavioral, preferential and/or lifestyle information about yourself, but it is solely up to you whether you furnish such information. If you do provide such information, you are thereby consenting to the use of that information in accordance with the policies and practices described in this Privacy Policy. For example, such information may be used for the purpose of determining your potential interest in receiving email or other communications about particular products or services.

Accessing or Deleting your Information.

You can delete your account on Planning Poker® at any time to remove your personally identifiable information.

When you delete your account, we permanently remove your user account, games, stories, Jira integrations, and all other data created by you or associated with your account from the Planning Poker® database using delete() statements.

If you have any questions about your privacy, need assistance deleting your information, or would like to get a copy of your information, please message us through our website or send an email to cwu5r5wa@incoming.intercom.io and we will assist you.

 

Information we store

Credit Card Numbers.

We do not store credit card numbers in connection with our Premium Accounts (such as Standard, Select, Pro and Enterprise paid accounts) on our server computers. We use a third-party payment processor that handles our payment processing. They have a PCI compliant card storage vault that they save card numbers too. When you enter your card number, you are entering it directly into the third-party payment processor’s server computers. Our team does not have access to your credit card number. In other areas, we collect or may collect demographic information that is not unique to you such as your ZIP code, age, preferences, gender, interests and favorites. Sometimes we collect or may collect a combination of the two types of information. This information is stored while you are an active subscriber and will be deleted when you terminate your subscription.

 

Contact Information.

We will store your name, address, email address, and telephone number in our database. You can delete all of this information by deleting your account on your user dashboard.

 

Story/Task/Work Item Information.

These items are encrypted and stored in our database using AES-256-CBC with a random, unique initialization vector for each operation. Authentication is performed using HMAC-SHA-512. Data remains in our database until your delete the game they are associated with, or until you delete your account.

 

Third Parties we Use

Intercom.

Planning Poker® uses Intercom to notify users of new features in our product. We also use Intercom to see how users are using our product (i.e. track how often each user logins in) and segment them accordingly (i.e. to create a list of users who logged in twice within the last week), as well as manage information about our customers and leads.

Personally identifiable information, including name, email address, phone number and location & country is submitted to Intercom’s servers and saved there when a user chooses to sign up to the Planning Poker® Application, to sign up for an event hosted or sponsored by Planning Poker®, or to subscribe to notifications about new product features and other information from Planning Poker®.

The option to subscribe to notification is made possible through the use of JavaScript and cookies. Information obtained via the cookies and / or the JavaScript widget, including IP address, browser version, OS version, activity data, usage information, transaction information and plan details is transferred to Intercom’s servers and saved there.

Other information, including IP address, browser & OS version, and timestamps, is submitted to Intercom when a user loads resources embedded in, or a link contained an email sent through Intercom.

The analyses of your actions on our website and with the notifications sent through Intercom is transferred to us in the form of reports. Intercom may give any of your information to further parties where legally required to do so, or these parties are contracted to by Intercom.

ProfitWell.

Planning Poker® uses ProfitWell to track our SaaS metrics.

Mailchimp.

Planning Poker® uses Mailchimp to send newsletters to subscribers.

Personally identifiable information, including name & email address is submitted to Mailchimp’s servers and saved there when a user chooses to sign up to the Planning Poker® Application, or chooses to subscribe to one of Planning Poker®’s newsletters.

Other information, including IP address, browser & OS version, and timestamps, is submitted to Mailchimp when a user loads resources embedded in, or a link contained an email sent through Mailchimp.

The analyses of your actions with the messages sent through Mailchimp is transferred to us in the form of reports. Mailchimp may give any of your information to further parties where legally required to do so, or these parties are contracted to by Mailchimp.

(2) Our Use of Your Information

We use the information we gather on Planning Poker®, whether personal, demographic, collective or technical, for the purpose of operating and improving Planning Poker®, fostering a positive user experience, and delivering the products and services that we offer.

We do not and will not provide or sell your contact information or the game related data you provide (including the user stories and game results) to any third party, with the exception of the limited reasons provided in this Privacy Policy. We strongly believe in the confidentiality of your team completing its game with the confidence that its user stories and results data remains confidential. We cannot control who you choose to send the game link, or game results to, and therefore make our best efforts to handle the data appropriately internally.

Although we will not provide or sell your contact information to any third party or sponsor (with the exception of the limited reasons provided in this Privacy Policy), we may use your contact information to send you email or other communications to inform you of other products or services available from us or our affiliated companies and sponsors or to contact you about your opinion of current products and services or potential new products and services that may be offered. We may also use your contact information in order to send you email or other communications regarding updates at Planning Poker®, and information on new Planning Poker® opportunities which may be of interest to you. The nature and frequency of these messages will vary depending upon the information we have about you.

We have areas on Planning Poker® where you can submit feedback. Any feedback you submit in these areas becomes our property (as identified in the Terms of Use), and we can use such feedback for marketing purposes or to contact you for further information.

(3) Choices Regarding the Disclosure of Personal Information to Others

We do not disclose your personal information to third parties, or your combined personal and demographic information or information about your use of Planning Poker® (such as the areas you visit or the services you access), except as set forth below.

a. We disclose information to third parties if you consent to such disclosure. For example, if you indicate that you would like to receive information about the opportunities, products or services of third parties at the time you register for a Planning Poker® account, we supply your contact information to third parties for the purpose of sending you email or otherwise communicating with you. We use data we have about you (such as the interests and preferences you have expressed) to determine whether you might be interested in the opportunities, products or services of a particular third-party.

b. We disclose information to companies and individuals we employ to perform functions on our behalf. Examples include hosting our Web servers, analyzing data, providing marketing assistance, processing credit card payments, and providing customer service. These companies and individuals will have access to your personal information as necessary to perform their functions, but they may not share that information with any other third party.

c. We disclose information if legally required to do so, if requested to do so by a governmental entity or if we believe in good faith that such action is necessary to: (a) conform to legal requirements or comply with legal process; (b) protect our rights or property or our affiliated companies; (c) prevent a crime or protect national security; or (d) protect the personal safety of users or the public.

d. We disclose and transfer information to a third party who acquires all or a substantial portion of our business or website, whether such acquisition is by way of merger, consolidation or purchase of all or a substantial portion of our assets. In addition, in the event we become the subject of a bankruptcy proceeding, whether voluntary or involuntary, we or our trustee in bankruptcy may sell, license or otherwise dispose of such information in a transaction approved by the bankruptcy court. You will be notified of sale of all or a substantial portion of our business to a third party via email or through a prominent notice posted on Planning Poker®.

(4) Protecting your login ID and password

Always keep your Planning Poker® account number and password secret. One potential way for someone to steal your login ID and password is if you bookmark any area on your Account Page. This is a concern if your browser is available to other people at work, home, or especially if you use a browser at a public Internet access point. You should not bookmark such pages and you should clear the browser cache and quit the browser completely when you are done using or surfing Planning Poker®. We have also worked to protect you against such a mistake. Even if someone obtains both your login ID and password, the system is designed to restrict access to your credit card information, in the event you are a paying or premium member.

In the unlikely event that we believe that the security of your Personal Information in our possession or control may have been compromised, we may seek to notify you of that development. If a notification is appropriate, we would endeavor to do so as promptly as possible under the circumstances, and, to the extent we have your e-mail address, we may notify you by e-mail. You consent to our use of e-mail as a means of such notification. If you prefer for us to use another method to notify you in this situation, please e-mail us at support@planningpoker.com with the alternative contact information you wish to be used.

(5) IP Address and Clickstream Data

Our server automatically collects data about your server’s Internet address when you visit us. This information, known as an Internet Protocol address, or IP Address, is a number that’s automatically assigned to your computer by your Internet service provider whenever you’re on the Internet. When you request pages from our web site, our servers may log your IP Address and sometimes your domain name. Your IP Address is used to help identify you and to gather demographic information about our customers as a whole, but does not include personally identifiable information. Our server may also record the referring page that linked you to us (e.g., another web site or a search engine); the pages you visit on this web Site; the web site you visit after this web site; the ads you see and/or click on; other information about the type of web browser, computer, platform, related software and settings you are using; any search terms you have entered on this web site or a referral site; and other web usage activity and data logged by our web servers. We use this information for internal system administration, to help diagnose problems with our server, and to administer our web site. Such information may also be used to gather demographic information, such as country of origin and Internet Service Provider. We may link this information with your Personal Information.

(6) Use of Cookies/Web Beacons

As part of our service, we use cookies to store and sometimes track information about you. Some features of our site may be available only through the use of a cookie. A cookie is a small amount of data that is sent to your browser from a Web server and stored on your computer’s hard drive. Generally, we use cookies to remind us who you are and enable us to access your account information so you do not have to reenter it; gather statistical information about usage by registered or unregistered users, research visiting patterns, and help target advertisements based on user interests. In some instances, our retail partners and advertisers appearing at our site may use their own cookies. Preference and options configurations in your browser determine if and how a cookie will be accepted. You can change those configurations on your computer if you desire. By changing your preferences, you can accept all cookies, you can be notified when a cookie is set, or you can reject all cookies. If you do so and cookies are disabled, you may be required to reenter your information more often and certain features of our site may be unavailable.

Planning Poker® may contain electronic images known as Web beacons (sometimes called single-pixel gifs) that allow us to count users who have visited those pages and to deliver co-branded services. Web beacons are not used to access your personally identifiable information; they are a technique we use to compile aggregated statistics about our Web site usage. Web beacons collect only a limited set of information including a cookie number, time and date of a page view, and a description of the page on which the Web beacon resides. You may not be able to decline web beacons, however, they can be rendered ineffective by declining all cookies or modifying your browser setting to notify you each time a cookie is tendered and permit you to accept or decline cookies on an individual basis.

(7) Access to and Modification of Your Information

You may review, correct, update or change your Planning Poker® account information at any time through the Planning Poker® website or by emailing us at support@planningpoker.com. If you receive newsletters, commercial emails or other communications from Planning Poker®, but subsequently change your mind, you may opt-out by following the procedures set forth in section 11.

We may retain indefinitely all the information we gather about you in an effort to make your repeat use of Planning Poker® more efficient, practical, and relevant. You can close your Planning Poker® account at any time, in which event we will mark your account as closed and limit access to your information by Planning Poker® personnel only, by emailing support@planningpoker.com. Your saved games will remain in our database and may not be permanently deleted.

(8) Security of the Personal and Game Information

We have implemented commercially reasonable technical and organizational measures designed to secure your personal and game related information from accidental loss and from unauthorized access, use, alteration or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use your personal information for improper purposes. We also cannot control who you send a link to, regarding any specific game. Your choice to send a link to a specific game, including the liability associated with that action, is controlled by our Terms of Use.

When you place an order online for goods or services at Planning Poker®, your credit card information is protected through the use of encryption, such as the Secure Socket Layer (“SSL”) protocol. SSL makes it difficult for your credit card information to be intercepted or stolen while being transmitted. We use a third party company to process credit card transactions and store your credit card and billing information if you provide it to us.

(9) Phishing

With identity theft a continuing problem, it has become increasingly common for unauthorized individuals to send e-mail messages to consumers, purporting to represent a legitimate company such as a bank or on-line merchant, requesting that the consumer provide personal, often sensitive information. Sometimes, the domain name of the e-mail address from which the e-mail appears to have been sent, and the domain name of the web site requesting such information, appears to be the domain name of a legitimate, trusted company. In reality, such sensitive information is received by an unauthorized individual to be used for purposes of identity theft. This illegal activity has come to be known as “phishing.”

If you receive an e-mail or other correspondence requesting that you provide any sensitive information (including your web site password or credit card information) via e-mail or to a web site that does not seem to be affiliated with our web site, or that otherwise seems suspicious to you, please do not provide such information, and report such request to us at support@planningpoker.com.

We will have no liability for disclosure of your information due to errors or unauthorized acts of third parties during or after transmission.

(10) Changes to Privacy Policy

We may revise this Privacy Policy at any time by posting an updated version to this Web page along with a message stating that the Privacy Policy has been updated on the login page of this website for at least 15 days after the updated version is posted.

(11) Opt Out and Deletion of Information

Except as necessary for Planning Poker® to provide the services or information requested by you, you may opt out of having your personally identifiable information, which has been provided to Planning Poker®, prospectively retained by Planning Poker®.

If you do not want to receive email communications from us in the future or desire that we not retain and delete any personally identifiable information, you may send an email to cwu5r5wa@incoming.intercom.io and telling us that you do not want to receive email from our company. If you choose to no longer have your information retained and want it to be deleted, you can delete your account from the ‘My Account’ page. Once your account is deleted, you should not return to the website and/or create another account, as that will begin storing your information again.

This Web page states the Terms of Use (“Terms”) under which You (as defined below) may use WWW.PLANNINGPOKER.COM and its affiliate websites (“Planning Poker®”), an on-line service providing a digital card game designed to help agile teams collaboratively estimate the effort required to complete a set of user stories and accurately forecast the sprint work that can be completed.

Please read these Terms carefully. If You do not accept the Terms stated here, do not use Planning Poker® and its services. By using Planning Poker®, You agree to be bound by these Terms, including the Planning Poker® Privacy Statement. Three Five Two, Inc. (“352”) may revise these Terms at any time by posting an updated version to this Web page along with a message stating that the Terms have been updated on the login page of this website for at least 15 days after the updated version is posted.

The terms “You” and “User” as used herein refer to all individuals and/or entities accessing Planning Poker® for any reason. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind the entity to these terms and conditions, in which case the terms “you” or “your” shall refer to the entity. If you do not have such authority, or if you do not agree with these terms and conditions, you may not use the Service. The term “post” as used herein shall mean information that You submit, publish or display on any 352 Site (as defined below).

Planning Poker® is not a gambling site. This site does not provide any remuneration, money or consideration to a user at anytime. All users of this site are prohibited from wagering or betting in connection with its digital card games. Planning Poker® specifically prohibits the use of betting, gambling or wagering on the results of any Planning Poker® game. There are no winnings nor payouts as this service does not provide a poker game.

 

 

1. Eligibility.

You must be 18 years of age or older, or the age of majority as that is defined in your jurisdiction, whichever is older, to visit or use Planning Poker® in any manner. By visiting Planning Poker® or accepting these Terms, You represent and warrant to 352 that You have reached the age of majority in your jurisdiction, and that You have the right, authority and capacity to agree to and abide by these Terms. You also represent and warrant to 352 that You will use Planning Poker® in a manner consistent with any and all applicable laws and regulations.

In order to access some features of Planning Poker®, you will have to create a Planning Poker® account. You may never use another’s account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify 352 immediately of any breach of security or unauthorized use of your account.

Although 352 will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of 352 or others due to such unauthorized use.

Visitors: If you visit any of the Planning Poker® sites, but fail to register, your access and rights to use the Planning Poker® services will be significantly limited. As a Visitor you are restricted from certain aspects of the Planning Poker® sites. Planning Poker® also provides an option to buy a Premium Account (such as Standard, Pro and Enterprise accounts), which are paid versions that allow users additional functionality.

 

2. Use of Planning Poker® Content.

 

352 authorizes You to view and access a single copy of the content available on or from Planning Poker® solely for your personal use. The contents of Planning Poker®, and of all other Web sites under 352’s control, whether partial or otherwise (Planning Poker® and such other Web sites are sometimes collectively referred to as “352 Sites”) such as text, graphics, images, logos, button icons, software and other 352 content (collectively, “352 Content”), are protected under both United States and foreign copyright, trademark and other laws. All 352 Content is the property of 352 or its content suppliers or licensors. The compilation (meaning the collection, arrangement and assembly) of all content on the 352 Sites is the exclusive property of 352 and is protected by United States and foreign copyright, trademark, and other laws. Unauthorized use of the 352 Content may violate these laws, and is strictly prohibited. You must retain all copyright, trademark, service mark and other proprietary notices contained in the original 352 Content on any authorized copy You make of the 352 Content.

You agree not to sell or modify the 352 Content or reproduce, display, publicly perform, distribute, or otherwise use the 352 Content in any way for any public or commercial purpose, in connection with products or services that are not those of Planning Poker®, in any other manner that is likely to cause confusion among consumers, that disparages or discredits Planning Poker® or its licensors, that dilutes the strength of Planning Poker®’s or its licensor’s property, or that otherwise infringes Planning Poker®’s or its licensor’s intellectual property rights. You further agree to in no other way misuse 352 Content that appears on this Site, other than those specifically permitted herein or by written agreement with Planning Poker®. Unless specifically permitted herein or in writing by Planning Poker®, the use of the 352 Content on any other Web site or in a networked computer environment for any purpose is prohibited. Any code that Planning Poker® creates to generate or display any 352 Content or the pages making up any 352 Sites is also protected by Planning Poker®’s copyright and you may not copy or adapt such code.

(2)(i) Your Ownership Rights. We understand the need for You to keep the game related data you provide (including the user stories and game results), confidential, and we endeavor to addresses and meet those concerns herein. Subject to the licenses granted in this Agreement, You retain any right, title and interest, including without limitation all worldwide intellectual property rights, in and to the Content of any information that are placed, submitted, posted or displayed by You on or through the Planning Poker® products and services. By creating a game, including but not limited to game name, description of game, and user stories, You grant 352 an unlimited, worldwide, perpetual, non-exclusive right and license to use, display, distribute, copy, share, modify and create derivative works of Your content without further compensation or payment, for the limited purposes of providing the Planning Poker® products and services to you. To be clear, Planning Poker® will not sell the game related data you provide (including the user stories and game results) to any third party, or provide it to any third parties unless it is necessary for the functioning of Planning Poker® (such as sending data to our 3rd party payment processor or database hosting service), or by proper and enforceable demand from a legal proceeding. You acknowledge that You are aware that 352 has limited practical ability to control or monitor possible infringement of Your intellectual property rights by other parties and that 352 assumes no responsibility for controlling or monitoring such intellectual property rights. In addition, 352 is not responsible for enforcing Your intellectual property or for suing or taking other legal action against infringers who fail to cease using Your Content or intellectual property upon revocation. You or a third party licensor, as appropriate, are responsible for protecting Your intellectual property rights. By creating an account on Planning Poker®, you agree to be identified as a user of Planning Poker® and you agree that 352 may refer to you by corporate name, trade name and/or trademark, if applicable, unless you request in writing that you wish to not be identified as a user of Planning Poker®. You hereby grant 352 a fully-paid, irrevocable, perpetual, world-wide license to use your name and any of your trade names and trademarks solely in connection with the rights granted to 352 pursuant to this marketing section.
Planning Poker® allows you to access and request the deletion of the information we have collected about you while using Planning Poker®’s products and services. Please see Planning Poker®’s Privacy Policy for information on how to request access to or removal of your personal information.

(ii) 352’s Ownership Rights. 352 and its licensors own all right, title and interest, including without limitation all worldwide intellectual property rights in the Planning Poker® products and services, and all such rights to all derivative works or enhancements of, in and to, or relating to, the Planning Poker® products and services. By entering into this Agreement or by Your participation, visit or use of Planning Poker®, You will not acquire any intellectual property or similar rights in the Planning Poker® products or services other than a limited right to use the products or services for Your personal benefit. You agree You will not (i) remove, alter or conceal any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Planning Poker® products or related products and services; or (ii) use Planning Poker®’s name, logo, trademark, trade names or service marks except as expressly permitted in this Agreement without 352’s prior written consent.

(iii) 352’s Limited Trademark License to You. During the term of this Agreement, and subject to Your compliance with the terms and conditions of this Agreement, You will have the right to use the trade names, trademarks, logos and designations in or associated with the Planning Poker® marks (including U.S. Reg. No. 3473287) solely for purposes of identifying Planning Poker® and solely in connection with Your permitted activities under this Agreement. You agree that the Planning Poker® marks and all associated goodwill are and will remain the sole property of 352 and Mountain Goat Software, LLC, that any goodwill generated as a result of Your licensed use of the Planning Poker® marks belongs exclusively to 352 and Mountain Goat Software, LLC and inures solely to the benefit of 352 and Mountain Goat Software, LLC, and that Your use of Planning Poker® marks is subject to 352’s control of the quality of any products or services with respect to which You may be authorized to use the Planning Poker® marks.

 

3. Planning Poker® Site Restrictions.

 

You may not use the Planning Poker® Site in order to transmit, post, distribute, store or destroy material, including without limitation, 352 Content, (a) in violation of any applicable law or regulation, (b) in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of others or violate the privacy, publicity or other personal rights of others, or (c) that is defamatory, obscene, threatening, abusive or hateful.

You warrant and agree that, while using the Planning Poker® site and the various services and features offered on or through the Planning Poker® site, you shall not: (a) impersonate any person or entity, whether actual or fictitious, or misrepresent your affiliation with any other person or entity; (b) insert your own or a third party’s advertising, branding or other promotional content into any of the Planning Poker® site’s content, materials or services, or use, redistribute, republish or exploit such content or service for any further commercial or promotional purposes; (c) attempt to gain unauthorized access to other computer systems through the Planning Poker® site; (d) engage in spidering, screen scraping, database scraping, harvesting of catalogue information, e-mail addresses, wireless addresses or other contact or personal information, or any other automatic means of obtaining lists of catalogue items or information, users or other information from or through the Planning Poker® Site or the services offered on or through the Planning Poker® site, including without limitation any information residing on any server or database connected to the Planning Poker® site or the services offered on or through the Planning Poker® site; (e) obtain or attempt to obtain unauthorized access to computer systems, materials or information through any means; (f) use the Planning Poker® site or the services made available on or through the Planning Poker® site in any manner with the intent to interrupt, damage, disable, overburden, or impair the Planning Poker® site or such services, including, without limitation, sending mass unsolicited messages or “flooding” servers with requests; (g) use the Planning Poker® site’s services or features in violation of Planning Poker® or any third party’s intellectual property or other proprietary or legal rights; (h) use any known or future unknown technology to harvest names, addresses, or other data for spam, reverse engineering, data collection, data mining, unsolicited telemarketing or other unwanted nuisance intrusions; (i) use any device, software or scheme that would interfere with the proper functioning of the Planning Poker® site, or any transaction via the Planning Poker® site; (j) place an undue burden or interfere with the lawful transmission of our content to our users, use any device to limit our total free access to the web infrastructure; and (k) use the Planning Poker® site or the Planning Poker® site’s services in violation of any applicable law. You further agree that you may not attempt (or encourage or support any one else’s attempt) to engage in any of the foregoing prohibited activities or to circumvent, reverse engineer, decrypt, disassemble, decompile or otherwise alter or interfere with the Planning Poker® site or the Planning Poker® site’s services, or any content thereof, or make unauthorized use thereof. You agree that you will not use the Planning Poker® site in any manner that could damage, disable, overburden, or impair the Planning Poker® site or interfere with any other party’s use and enjoyment of the Planning Poker® site. You may not obtain, use or access, or attempt to obtain, use or access, any materials or information through any means not intentionally made publicly available or provided for through the Planning Poker® site.

 

4. Specific Prohibited Uses or Restrictions.

The following is a partial list of User Content that is prohibited on the Planning Poker® Sites. The list below is for illustration and is not a complete list of all prohibited User Content: Content that: (1) is implicitly or explicitly offensive, such as User Content that engages in, endorses or promotes racism, bigotry, discrimination, hatred or physical harm of any kind against any group or individual; (2) harasses, incites harassment or advocates harassment of any group or individual; (3) involves the transmission of “junk mail”, “chain letters,” or unsolicited mass mailing or “spamming”; (4) promotes or endorses false or misleading information or illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous; (5) promotes or endorses an illegal or unauthorized copy of another person’s copyrighted work, such as providing or making available pirated computer programs or links to them, providing or making available information to circumvent manufacture-installed copy-protect devices, or providing or making available pirated music or other media or links to pirated music or other media files; (6) contains restricted or password only access pages, or hidden pages or images; (7) displays or links to pornographic, indecent or sexually explicit material of any kind; (8) provides or links to material that exploits people under the age of 18 in a sexual, violent or other manner, or solicits personal information from anyone under 18; or (9) provides instructional information about illegal activities or other activities prohibited by these Terms, including without limitation, making or buying illegal weapons, violating someone’s privacy, providing or creating computer viruses or pirating any media; and (10) solicits passwords or personal identifying information from other Users.

If notified by a User of User Content or other materials which allegedly do not conform to these Terms, Planning Poker® may in its sole discretion investigate the allegation and determine whether to take any other actions and whether to remove or request the removal of the User Content. Planning Poker® has no liability or responsibility to Users for performance or nonperformance of such activities. You acknowledge that 352 may or may not pre-screen Content, but that 352 and its designees shall have the right (but not the obligation) in their sole discretion to pre-screen, refuse, or move any Content that is available via the Service. Without limiting the foregoing, 352 and its designees shall have the right to remove any Content that violates these terms or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by 352 or submitted to 352. Planning Poker® does not necessarily monitor any materials posted, transmitted, or communicated to or within the Site. If notified by a User of User Content or other materials which allegedly do not conform to these Terms, Planning Poker® may in its sole discretion investigate the allegation and determine whether to take any other actions whether to remove or request the removal of the User Content. Planning Poker® has no liability or responsibility to Users for performance or nonperformance of such activities.

 

5. Registration Information and Password.

(a) All Accounts

When You register with any Planning Poker® Site, including but not limited to as an user, participant or Sponsor, You will be asked to create a Planning Poker® account or other account and provide Planning Poker® with certain information including, without limitation, your name, a username, a password, and a valid work email address (for all accounts) and billing and payment information (for a Premium Account) (your “Information”). Information you submit will be used in accordance with Planning Poker®’s Privacy Statement. You are responsible for providing accurate information in order to create an account. You understand and acknowledge that you have no ownership rights in your Planning Poker® account, and that if you seek to cancel your Planning Poker® account, all your account information from Planning Poker® (including but not limited to any active or saved games and all data associated with such games), may be marked as deleted in Planning Poker®’s databases and may be removed from any public area of the Planning Poker® Sites. Information may continue to be available for some period of time because of delays in propagating such deletion through Planning Poker®’s web servers. Information related to a Premium Account may be retained for longer periods of time in accordance with commercial standards. In addition, third parties service providers may retain cached copies of your Information. For all account related concerns, please contact support@planningpoker.com.

You are responsible for maintaining the confidentiality of your account Profile and passwords, as applicable. You may not share your password or other account access information with any other party, temporarily or permanently, and You shall be responsible for all uses of your Planning Poker® registrations and passwords, whether or not authorized by You. You agree to immediately notify Planning Poker® of any unauthorized use of your account or passwords, as the case may be.

(b) Premium Accounts

 

Certain services made available on Planning Poker® may be offered by 352 on a payment basis (herein referred to as a “Premium Account”). Premium Accounts may be offered by 352 on a monthly or annual basis. Should You choose to have access to a Premium Account, You will be required to register as described in Section 5(a) above. You agree to pay all the fees applicable to such Premium Account listed on the pricing page together with all applicable taxes (collectively, the “Fees”). All Fees for a Premium Account will be charged to the credit card you provide (or collected via check, ACH or wire transfer if you made arrangements with 352 to pay via one of these methods), and are non-refundable. Your Premium Account purchase may be subject to foreign exchange fees or differences in prices based on location (e.g. exchange rates). You authorize us and our third-party payment processor to store and continue billing your payment method (e.g. credit card) even after it has expired or your card number has changed, to avoid interruptions in your service (e.g. subscriptions) and to facilitate easy payment for new services. You must pay us for applicable fees and taxes unless you cancel the Premium Account, in which case you agree to still pay these fees through the end of the applicable Premium Account period. Taxes are calculated based on the billing information that you provide us at the time of purchase.

If you have a Premium Account, all Premium Account plan subscriptions auto renew on the month or year anniversary of their signup date. You can cancel your account by logging into Planning Poker®, and on the main dashboard, selecting “My Account” and then scrolling to the bottom to manage your subscription. When you cancel you will still receive service through the end of the period You already paid for. As long as You cancel by 5:00PM EST the day prior to their renewal date, your Premium Account will not automatically renew for the next period. The cancellation will take effect the day after the last day of the current defined period, and You will be downgraded to the Basic Free version. We will not refund any Premium Account fees already paid to us, and we will not issue a refund or pro-rated refund for unused or future subscription time.

352 may change the price for the Premium Accounts from time to time, and will communicate any price changes to you. If 352 chooses to apply the price change to current Premium Account holders, the price change will take effect at the start of the next defined period following the date of the price change. By continuing to use Planning Poker® after the price change takes effect, you accept the new price. In connection with the foregoing, You warrants that: (a) You are of the age of majority in the jurisdiction in which You reside, (b) all information You submit is true and correct (including without limitation all credit card information), and (c) You are the credit cardholder (or have clear authority to use a card) designated by the You for the Premium Account.

 

6. User Content and Submissions.

You are solely responsible for your Planning Poker® account information, profile, content (including, without limitation works in any form, media, or technology whether now known or later developed), messages, audio, video, photos, text, images, user stories and related information, imported data, compilations or other information (herein “User Content”) that You import to or post on Planning Poker® or transmit to other Users. You agree that in submitting User Content or otherwise using Planning Poker® that you will not impersonate any person, or submit any materials to Planning Poker® that are false, inaccurate, misleading, unlawful, or are otherwise in violation of your obligations under these Terms.

Planning Poker® does not represent or guarantee the truthfulness, accuracy, or reliability of User Content or any other communications posted by Users or endorse any opinions expressed by Users. You acknowledge that any reliance on material posted by other Users will be at your own risk.

Planning Poker® allows you to access and request the deletion of the User Content that You imported, posted or transmitted while using Planning Poker®. Please see Planning Poker®’s Privacy Policy for information on how to request access to or removal of your personal information, including your User Content.

352’s policy does not generally permit us to accept or consider creative ideas, suggestions, inventions or materials other than those which we have specifically requested. If, despite our request, or in the event that 352 does actively seek your feedback or suggestions (through mechanisms, including but not limited to a User Voice plug-in and User Voice Web page, email, form submission etc.), and You send us creative suggestions, ideas, drawings, concepts, inventions, or other information (collectively the “Submission”), the Submission shall be the property of 352. None of the Submission shall be subject to any obligation of confidentiality on our part and we shall not be liable for any use or disclosure of any Submission. 352 shall have an irrevocable, royalty-free, perpetual, fully paid non-exclusive right (including moral rights) and worldwide license to use, copy, reproduce, modify, adapt, publish, translate, communicate to the public, perform, display, and distribute such Submission (in whole or in part) and to prepare derivative works of, or incorporate into other works (in any form, media or technology now known or later developed, for the full term of any rights that may exist in such content) such Submission, and to grant and authorize sublicenses thereof (through multiple tiers).

 

7. Sponsors.

If You Participate as a Sponsor, You are solely responsible for all advertising content You transmit or submit to Planning Poker®. Prior to providing any Ads and Participating as a Sponsor, You may be required to read and accept additional written terms and conditions governing Your submission of Ads to Planning Poker® (the “Advertiser Agreement”). Planning Poker® disclaims all liability relating to Your Ads and You agree to indemnify Planning Poker® for all loses Planning Poker® incurs associated with the Ads.

 

8. Planning Poker®’s Liability.

 

Planning Poker® acts on-line service providing a digital card game designed to help agile teams collaboratively estimate the effort required to complete a set of user stories and accurately forecast the sprint work that can be completed. 352 is not involved in the actual game play between users. As a result, 352 has no control over the quality, safety or legality of the games, the truth or accuracy of the games, and 352 makes no representations about any game results on Planning Poker®.

352 may take any action with respect to User Content that it deems necessary or appropriate in its sole discretion if it believes that such User Content could create liability for 352, damage 352 and/or Planning Poker®’s brand or public image, or cause 352 and/or Planning Poker® to lose (in whole or in part) the services of its ISPs or other suppliers. While 352 reserves the right in its sole discretion to remove content or material from Planning Poker® from time to time, 352 does not assume any obligation to do so and disclaims any liability for failing to take any such action.

Because User authentication on the Internet is difficult, Planning Poker® cannot and does not confirm that each User is who they claim to be. Because we do not and cannot be involved in User-to-User dealings or control the behavior of participants on any Planning Poker® Site, in the event that You have a dispute with one or more Users, You release Planning Poker® (and our agents and employees) from claims, demands and damages (actual and consequential and direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If You are a California resident, You waive California Civil Code Section 1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”

The Planning Poker® Site and the User Content may contain inaccuracies or typographical errors. 352 makes no representations about the accuracy, reliability, completeness, or timeliness of any Planning Poker® Site or the User Content. The use of all Planning Poker® Sites and the User Content is at your own risk. Changes are periodically made to Planning Poker® Sites and may be made at any time. You acknowledge and agree that You are solely responsible for the form, content and accuracy of any resume or material contained therein placed by You on the Planning Poker® Sites.

Planning Poker® cannot guarantee and does not promise any specific results from use of Planning Poker® or any Planning Poker® Site. No advice or information, whether oral or written, obtained by a User from Planning Poker® or through or from Planning Poker® or any other Planning Poker® Site shall create any warranty not expressly stated herein.

 

9. DISCLAIMER OF WARRANTIES.

 

THE SITE, INCLUDING, WITHOUT LIMITATION, ALL SERVICES, CONTENT, FUNCTIONS AND MATERIALS, IS PROVIDED “AS IS,” “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR OTHERWISE, FOR INFORMATION, DATA, DATA PROCESSING SERVICES, UPTIME OR UNINTERRUPTED ACCESS, ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY, USEFULNESS, OR CONTENT OF INFORMATION, ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, AND WE HEREBY DISCLAIM ANY AND ALL SUCH WARRANTIES, EXPRESS AND IMPLIED. WE DO NOT WARRANT, REPRESENT OR COVENANT THAT THE WEB SITE OR THE SERVICES, CONTENT, FUNCTIONS OR MATERIALS CONTAINED THEREIN WILL BE TIMELY, SECURE, UNINTERRUPTED OR ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY THAT THE WEB SITE WILL MEET USERS’ REQUIREMENTS. 10. LIMITATION OF LIABILITY.

IN NO EVENT SHALL 352 AND/OR Planning Poker®, ITS AFFILIATES OR ANY OF THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR CONTENT OR SERVICE PROVIDERS (COLLECTIVELY, THE “PROTECTED ENTITIES”) BE LIABLE, WHETHER IN AN ACTION BASED ON A CONTRACT INDEMNIFICATION, OBLIGATION, TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE), COLLATERALLY OR ARISING FROM ANY STATUTORY DUTY, PRE-CONTRACT OR OTHER REPRESENTATIONS, OR OTHERWISE, HOWEVER ARISING, FOR ANY ECONOMIC LOSSES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUES, PROFITS, CONTRACTS, BUSINESS, GOODWILL OR ANTICIPATED SAVINGS) OR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM, OR DIRECTLY OR INDIRECTLY RELATED TO, THE USE OF, OR THE INABILITY TO USE, THE SITE OR THE CONTENT, MATERIALS AND FUNCTIONS RELATED THERETO, YOUR PROVISION OF INFORMATION VIA THE WEB SITE, LOST BUSINESS OR LOST SALES, EVEN IF SUCH PROTECTED ENTITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE PROTECTED ENTITIES BE LIABLE FOR OR IN CONNECTION WITH ANY CONTENT POSTED, TRANSMITTED, EXCHANGED OR RECEIVED BY OR ON BEHALF OF ANY USER OR OTHER PERSON ON OR THROUGH THE SITE. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE PROTECTED ENTITIES TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE OR OTHERWISE) ARISING FROM THE TERMS AND CONDITIONS OR YOUR USE OF THE SITE EXCEED, IN THE AGGREGATE, THE AMOUNT, IF ANY, PAID BY YOU TO 352 FOR YOUR USE OF THE SITE.

 

11. Local Standards.

We do not represent that materials on the Planning Poker® Site are appropriate for use in all locations. Persons who choose to access the Planning Poker® Site do so on their own initiative, and are responsible for compliance with local laws, if and to the extent local laws are applicable.

These links are provided solely as a convenience to You and not as an endorsement by Planning Poker® of the contents on such third-party Web sites. Planning Poker® is not responsible for the content of linked third-party sites and does not make any representations regarding the content or accuracy of materials on such third party Web sites. If You decide to access linked third-party Web sites, You do so at your own risk.

Planning Poker® and certain other Planning Poker® Sites contain links to social media sites. These links are provided solely as a convenience to You and not as an endorsement by 352 and/or Planning Poker® of the content on such social media sites. 352 and/or Planning Poker® is not responsible for the content, accuracy of such content, or manner in which such content is provided to these third party social media sites. You specifically agree that the use of these social media sites in conjunction with Planning Poker® is at your own risk.

 

13. Indemnity.

You agree to defend, indemnify, and hold harmless 352 and Planning Poker®, its affiliates, and their respective officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (i) any User Content or other material You provide to any Planning Poker® Site, (ii) your use of any Planning Poker Content (specifically including the distribution of a game link which you provided to any and all third parties, regardless of whether they created their own account), or (iii) your breach of the terms of these Terms. Planning Poker® shall provide notice to You promptly of any such claim, suit, or proceeding.

 

14. Miscellaneous.

Our failure to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms of Use by 352 must be made in writing and signed by an authorized representative of 352 specifically referencing these Terms of Use and the provision to be waived. Headings used in these Terms of Use are for convenience only and are not to be relied upon. If any provision of the Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms of Use remain in full force and effect. These Terms of Use will inure to the benefit of, and are intended to be enforceable by, Planning Poker®’s successors, assigns and licensees. There are no third party beneficiaries to this Agreement; a person who is not a party to this Agreement has no rights under the Contracts (Rights of Third Parties) Act 1999 to rely upon or enforce any term or provision of this Agreement.

 

15. Ethics: Anti-Corruption, Anti-Bribery, and Anti-Slavery.

Neither 352 nor any of its subsidiaries nor any director, officer, or employee of the Company, nor to the knowledge of the Company, any agent, affiliate or other person acting on behalf of the Company or any of its subsidiaries has, in the course of its actions for, or on behalf of, the Company or any of its subsidiaries (i) used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expenses relating to political activity; (ii) made or taken any act in furtherance of an offer, promise, or authorization of any direct or indirect unlawful payment or benefit to any foreign or domestic government official or employee, including of any government-owned or controlled entity or public international organization, or any political party, party official, or candidate for political office; (iii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended (the “FCPA”), the UK Bribery Act 2010, or any other applicable anti-bribery or anti-corruption law; or (iv) made, offered, authorized, requested, or taken an act in furtherance of any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment or benefit; (v) allowed slavery or human trafficking in any part of its business. The Company and its subsidiaries and, to the knowledge of the Company, the Company’s affiliates have conducted their respective businesses in compliance with the FCPA and have instituted and maintain policies and procedures designed to ensure, and which are reasonably expected to continue to ensure, continued compliance therewith.

 

16. Legal Disputes.

If any dispute arises between You, a Visitor, You, another registered user, another game participant, an Advertiser and/or Planning Poker®, 352 or any combination thereof, as it relates to Planning Poker® and this Agreement, such dispute shall be submitted and settled in accordance with the Rules of the American Arbitration Association, in Palm Beach County, Florida and the decision of a single English speaking arbitrator shall be final and binding. You further agree that in the event Planning Poker® and/or 352 becomes a party to the dispute involving this Agreement, each party shall bear its own costs and legal fees. In any disputes between You, another registered user, and/or another game participant, where Planning Poker® and 352 are not parties to the suit, you agree to pay $1,000.00 in damages and costs for Planning Poker® and/or 352 having to respond to any subpoena regarding the dispute.

The Terms of Use and the relationship between you and us shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions. In the event that a Court determines that the arbitration clause below is unenforceable or inapplicable, You agree that any cause of action that may arise under the Terms of Use shall be commenced and be heard in the appropriate court in the State of Florida, Palm Beach County. You agree to submit to the personal and exclusive jurisdiction of the courts located within Palm Beach County in the State of Florida.


These Terms constitute a binding agreement between You and 352, and is accepted by You upon your use of the Planning Poker® Site.
